BALANCE S.r.l. has always been sensitive to the need to ensure conditions of fairness and transparency in the conduct of business and company activities, to protect its position and image, as well as the expectations of the company structure and its employees.
We inform you that in order to achieve this objective, the Company, by resolution of the Board of Directors of 27/04/2020, has decided to adopt:
(i) of an organization, management and control model provided for by Legislative Decree no. 231, within which it is established on the one hand that any unlawful conduct is strongly condemned by the Company and that all those who work in the name and on behalf of the Company must become aware of necessarily respecting the company rules, allowing the Company, thanks to an action of strict control and monitoring on sensitive areas of activity and to the implementation of ad hoc tools, to intervene promptly to prevent or counter the commission of the crimes themselves;
(ii) a specific Code of Ethics so as to make explicit the foundations of the corporate culture of the Company’s reference values from which it derives concrete rules of conduct towards all internal and external subjects, who have a direct or indirect relationship with it ( customers, shareholders, employees, suppliers, business partners);
(iii) to appoint a Supervisory Body in single-person composition with autonomous powers of initiative and control, which supervises the functioning and observance of the Model and which takes care of its updating.
The Company believes that the adoption of this Model and the Code of Ethics constitutes, beyond the legal requirements, a further valid tool for all employees of the entity and all subjects with whom it interacts (customers, suppliers, partners etc.) follow in the performance of their activities, correct and transparent behavior in line with the ethical and social values which inspire the entity in pursuing its corporate purpose, and in any case such as to prevent the risk of committing the offenses contemplated by the Decree .
The reporting of any offenses relating to Legislative Decree 231/2001 may be forwarded

To guarantee maximum confidentiality, the Supervisory Body will take all possible actions to protect the right to anonymity by the person who made the reports.
